This presentation will provide an overview of the practical legal, organizational, transactional, and intellectual property issues that commonly arise in the context of angel and venture capital financings and change of control transactions. The presentation will focus on highlighting the often overlooked preparatory organizational and due diligence issues in investment and business sale transactions, the preparation and negotiation of term sheets and letters of intent, the selection standards and expectations of angel and venture capital groups, and the “housekeeping “ measures that are necessary to protect intellectual property rights.
